Terms & Conditions

1. Acceptance

By accessing the Dual Edge Capital portal at dualedgecap.com (the “Service”), you agree to these Terms & Conditions. If you do not agree, do not use the Service. Access is restricted to individuals explicitly added to our allowlist by a fund administrator.

2. Description of service

The Service is a private investor portal for Dual Edge Capital. It displays fund performance, individual investor positions, session and tournament records, and field updates posted by fund administrators. The Service is not open to the public and does not offer investment products to the public.

3. Account & security

  • You are responsible for keeping your sign-in credentials confidential.
  • You may not share your account, magic-link emails, or password reset emails with any other person.
  • Notify us immediately of any unauthorized access by emailing the address at the bottom of this page.
  • We may suspend access at our discretion if we suspect misuse, compromise, or violation of these terms.

4. SMS / messaging terms

You may opt in to receive SMS from Dual Edge Capital by submitting your mobile number and agreeing to the consent language on our opt-in page, or by being added to our authorized list after giving an administrator explicit consent. By opting in:

  • Opting in to SMS is optional and is not a condition of accessing the Service, participating in the fund, or any purchase or investment. You can use the Service without opting in to text messages.
  • You consent to receive recurring SMS account and operational notifications from us related to fund activity (for example, confirmations of logged poker sessions and tournaments).
  • Standard message and data rates from your mobile carrier may apply.
  • Reply STOP at any time to opt out of further messages. Reply HELP for assistance.
  • Message frequency varies based on administrator activity (typically a handful of messages per day during active poker trips, none otherwise).
  • We do not send marketing or promotional SMS. All messaging is transactional and tied to fund operations.

5. Acceptable use

You agree not to:

  • Attempt to access portions of the Service that are not assigned to your role.
  • Probe, scan, or test the vulnerability of the Service or attempt to bypass authentication or authorization controls.
  • Use the Service to transmit unlawful, harmful, or infringing content.
  • Reproduce, resell, or distribute fund-internal information from the Service without prior written permission.

6. Not investment advice

Information shown in the portal is for the personal information of authorized investors and administrators. It is not an offer to sell securities, a solicitation of an offer to buy, or investment advice. Past performance does not guarantee future results. Poker is a game of skill and chance; outcomes are uncertain and capital may be lost.

7. Intellectual property

The Service, its design, code, and content are owned by Dual Edge Capital or its licensors. You receive no right or license to the Service except the limited right to access it as an authorized user.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, Dual Edge Capital and its administrators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service.

10. Termination

We may terminate your access at any time, with or without notice, for any reason. You may discontinue use at any time by asking an administrator to remove you from the allowlist.

11. Changes to these terms

We may revise these terms from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Service after changes constitutes acceptance.

12. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
